Terms of Service.
These terms explain how Midshift is provided, what you can expect from the service, and the responsibilities that apply when you use the platform.

1. Acceptance of Terms
By accessing or using Midshift (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms constitute a binding agreement between you (“you”, “the Client”) and Changeable (“we”, “us”, “Midshift”).
2. Description of Service
Midshift is an AI-assisted process improvement platform. The Service facilitates structured stakeholder interviews, process analysis, opportunity identification, and report generation using artificial intelligence and established business analysis frameworks including Lean, BABOK, BPM CBOK, and ADKAR. 3. Eligibility
You must be at least 18 years of age and have the authority to bind your organisation to these terms. By using the Service, you represent that you meet these requirements.
4. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials. You must enable two-factor authentication if required by your account tier. You must notify us immediately of any unauthorised access to your account. We are not liable for losses resulting from unauthorised use of your account. 5. Trial Period
New accounts receive a 14-day free trial with access to Growth tier features and one process engagement. A valid payment method is required at signup. At the end of the trial period, your account converts to a paid Growth monthly subscription unless you cancel before the trial ends. You may cancel at any time during the trial at no cost. 6. Subscription and Payment
Subscription fees are charged in New Zealand dollars (NZD) inclusive of GST where applicable. Payments are processed by Stripe. Subscriptions renew automatically at the end of each billing period. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. Overage purchases are non-refundable.
7. Process Definition
One process engagement covers one specific, named workflow with a clear start and end point. A process is not a department, a broad business function, or multiple unrelated workflows. We reserve the right to determine whether a submitted process meets this definition. If a submission does not qualify as one process, we will contact you to clarify scope before proceeding. 8. Deliverables and Turnaround
We aim to deliver completed reports within the timeframes stated at purchase, 24 hours for paid tiers and 48 hours for trial. These timeframes are targets, not guarantees. Delivery timelines depend on stakeholder interview completion. We are not liable for delays caused by stakeholder non-participation.
9. Intellectual Property
All reports, analyses, and outputs generated through the Service are owned by you. You grant us a limited licence to use anonymised, aggregated engagement data to improve the Service. We retain ownership of the Midshift platform, methodology, prompts, and software. You may not reverse-engineer, copy, or resell the Service or its outputs as a competing product without our written consent.
10. Acceptable Use
You must not use the Service to process information you do not have the right to share. You must not submit false, misleading, or deliberately incomplete information. You must not attempt to circumvent the Service’s security, access controls, or usage limits. You must not use the Service for any unlawful purpose.
11. AI-Generated Content
Midshift uses artificial intelligence to facilitate interviews, analyse transcripts, and generate reports. All AI-generated outputs are reviewed by a senior business analyst before delivery. However, outputs are advisory only and do not constitute legal, financial, or professional advice. You are responsible for evaluating recommendations before implementation. We do not guarantee the accuracy or completeness of AI-generated analysis. See our Ethical AI page for more information about our responsible AI approach.
12. Limitation of Liability
To the maximum extent permitted by New Zealand law, our total liability to you for any claim arising from use of the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental losses including lost profits, lost data, or business interruption. Nothing in these terms is intended to exclude rights that cannot be excluded under applicable New Zealand law, including where relevant the Consumer Guarantees Act.
13. Confidentiality
We treat all engagement data as confidential. We do not sell, share, or disclose your data to third parties except as required to deliver the Service, such as AI processing and email delivery, or as required by law. 14. Termination
We may suspend or terminate your account if you breach these terms, fail to pay, or engage in behaviour that harms the Service or other users. You may terminate your account at any time by contacting us. Upon termination, your data is retained for 90 days then deleted unless you request earlier deletion.
15. Changes to Terms
We may update these terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after changes take effect constitutes acceptance.
16. Governing Law
These terms are governed by the laws of New Zealand. Any disputes are subject to the exclusive jurisdiction of the New Zealand courts. New Zealand contract law includes the Contract and Commercial Law Act 2017.
